SupplyItNow reserves the right to change the Terms and Conditions at any time. The date posted at the beginning of the SupplyItNow Supplier Agreement and the Purchase Order Terms and Conditions will indicate the date of the most recent change, which will apply to all quotes from that date.

The terms and conditions listed herein are incorporated into and are part of each SupplyItNow Purchase Order (PO).

• Working/Used: This product has been used, but cosmetically appears to be in "like new" condition and is working product.
• Working/New: This product is new, not used, working product.
• Working New or Used: Product is working and is cosmetically in "like new" condition and can be either new or used.
• Defective: This product is not working. For specific definitions, refer to the Product Requirements link in each product Quote page.

All products must conform to the applicable specifications detailed in connection with each quote.

The winner will be notified via email. This email will include a link to an electronic Purchase Order (PO). The PO will contain a link to a packing slip, which the winner must print and attach to the shipment. The PO will also contain a link to enter the waybill number.

An order designated "P1" in the quote must be shipped and the waybill information entered into the SupplyItNow system within four (4) hours after receipt of the PO.

An order designated "STD" or "Standard" in the quote or which lacks any designated shipping priority, must be shipped and the waybill information entered into the SupplyItNow system within twenty-four (24) hours after receipt of the PO.

Contact the carrier specified in the PO to arrange for a pickup. Upon pickup you must return to the website (the easiest way is to open the electronic PO and link to the waybill entry screen) and then enter the waybill number.

A purchase order is generated from SupplyItNow no later than the next working day after the bid closes, and is sent to the winning bidder through an email notification.

Upon receipt of your product at SupplyItNow's specified location, an invoice will automatically be created.

SupplyItNow reserves the right to disqualify bidders or their bids based on SupplyItNow's evaluation of the bidder's supplier history.

A seller must be ready, willing and able to honor any bid made by it.  Intentional submission of false bids will be considered fraudulent.

SupplyItNow pays all shipping charges based on the shipping instructions included with the purchase order, unless the point of origin is outside of North America for orders to be shipped to North America, or outside of the European Union for orders to be shipped to the European Union, in which case you must pay the shipping charges from the point of origin to the port of entry into North America or the European Union as applicable, and SupplyItNow will pay shipping charges from that port of entry to the destination.

The product received by SupplyItNow must be the exact quantity you entered in your bid submittal and in the condition requested by SupplyItNow. It also has to be the product SupplyItNow requested.

Failure to meet these conditions will cause you to be removed from our list of approved suppliers and you will not be able to do business with SupplyItNow in the future without going through a re-qualification process.

ACCEPTANCE OF THIS PURCHASE ORDER BY SELLER MAY BE MADE BY SIGNING AND RETURNING THE ATTACHED ACKNOWLEDGMENT COPY HEREOF, BY OTHER EXPRESS ACCEPTANCE OR BY SHIPMENT OF GOODS. BY ACCEPTANCE OF THIS PURCHASE ORDER, SELLER AGREES TO COMPLY FULLY WITH THE TERMS AND CONDITIONS ON THE FACE OF THIS ORDER AND AS SPECIFIED BELOW. IF THERE IS A CONFLICT BETWEEN A TERM OR CONDITION BELOW AND A TERM OR CONDITION ON THE FACE HEREOF, THE TERM OR CONDITION ON THE FACE HEREOF SHALL APPLY. ACCEPTANCE OF THIS PURCHASE ORDER IS EXPRESSLY LIMITED TO SUCH TERMS AND CONDITIONS AND IF SELLER USES ITS OWN ORDER ACKNOWLEDGMENT OR OTHER FORM TO ACCEPT THIS ORDER IT IS UNDERSTOOD THAT SAID FORM SHALL BE USED FOR CONVENIENCE ONLY, AND NO ADDITIONAL OR DIFFERENT TERMS AND CONDITIONS CONTAINED IN THE SELLER'S ACKNOWLEDGMENT OR ACCEPTANCE OF THIS ORDER SHALL BE A PART OF THE AGREEMENT WITH RESPECT TO THIS PURCHASE ORDER. ACCEPTANCE BY THE BUYER OF GOODS DELIVERED UNDER THIS PURCHASE ORDER SHALL NOT CONSTITUTE ACCEPTANCE OF SELLER'S TERMS AND CONDITIONS.

The term "Seller" as used herein shall include all persons providing or agreeing to provide goods or materials under this purchase order and includes subcontractors and independent contractors. The term "Buyer" as used herein shall mean SupplyItNow. The term "goods" as used herein shall mean the goods, parts or merchandise provided under this order.

The goods covered by this purchase order shall be shipped via Buyer's carrier as designated on the face hereof. Taxes and duties, when applicable and when agreed on the face of this order shall be billed as separate line items on the Seller's invoices. All containers must be marked with this purchase order number and the part number. All shipments must contain a packing list.  Seller shall package all goods at its expense in packaging which will adequately protect the goods from shipping damage. Seller must pay all shipping charges from the point of origin to the port of entry into North America for shipments to destinations within North America, or to the point of entry into the European Union for shipments to destinations within the European Union.

Changes, modifications, waivers, additions or amendments to the terms and conditions of this order shall be binding on the Buyer only if such changes, modifications, waivers, additions or amendments are in writing and are signed by an officer of the Buyer or duly authorized representative of the Buyer and state expressly that they constitute changes, modifications, waivers, additions or amendments to this purchase order.

Inspection and acceptance of goods by Buyer will be at the Buyer's facility. Any goods not received in the condition specified in the SupplyItNow quote will not be accepted by the Buyer and will be returned to the Seller at its expense and Seller shall refund the full price paid in respect thereof to Buyer and Buyer may deduct such price from any payments due the Seller. Inspection may be performed at Buyer's option on a statistical sampling basis in accordance with the Buyer's sampling methods. When the defects within the sample exceed the allowable percent defective, the lot may be rejected or 100% screened by the Buyer with the cost of screening billed back to the Seller. 

The Seller warrants that all goods conform to the specifications  furnished by the Buyer in the SupplyItNow quote, and, except where the conditions of the goods is specified in the quote as defective, will be free of defects, for the period specified in the quote or PO, or if no period is specified then 90 days for all goods. All warranties contained herein shall survive inspection, test and acceptance by the Buyer. If a warranty of Seller is breached, Buyer may return the goods occasioning such breach and the Seller shall refund to the Buyer the purchase price paid in respect thereto. Such return of goods shall be at the Seller's expense, including expenses and penalties incurred by Buyer in recalling such goods which have been delivered to the Buyer's customers, and expenses of redelivery.

The Seller agrees to indemnify, save, and hold the Buyer, its officers, employees, suppliers, or agents (direct or remote) harmless, from any and all loss, expense, damage, liability, claims, or demands, either at law or in equity, for actual or alleged infringement of any patent, invention, design, trademark, copyright or other claim of proprietary right arising from the purchase, use, or sale of the goods furnished by Seller hereunder.

Buyer will not accept any price greater than that indicated on this order. Except as otherwise provided on the face hereof, the contract price includes all costs and charges incurred by Buyer, including without limitation, all applicable federal, state, and local taxes, duties and all charges for packing and loading.

Terms on this order will be as follows: Discount terms will be paid within the specified time.  Terms not discounted will be considered 30 days net. Such terms are based upon receipt by Buyer of the goods prior to scheduled payment date. If Buyer receives the invoice prior to such shipment or receipt of goods, the foregoing terms shall be measured from the date of receipt of shipment of goods rather than date of receipt of invoice.

TIME IS OF THE ESSENCE of this order and Buyer reserves the right to cancel all or any part of this order if delivery of any lot or installment is not made on the date or dates specified on the face hereof.

In accepting this order, Seller agrees that it has complied with and will continue during the performance of this order to comply with the provisions of all federal, state, and local laws and regulations which if violated may lead to liability of the Buyer. 

Unless otherwise stated on the face hereof, it is hereby certified that the goods purchased herein are for resale, or will become an ingredient or component part of, or become incorporated into or used or consumed in a manufactured product produced for ultimate sale at retail.

The validity, interpretation, and performance of these terms and conditions and any purchase made hereunder shall be governed by the Laws of the State of California. This purchase order is made and entered into and is to be performed at Camarillo, California.

The failure of Buyer to enforce at any time or for any period of time any of the provisions of this purchase order shall not constitute a waiver of such provisions or of the right of the Buyer to enforce each and every provision.
